These Affiliates Terms & Conditions ("Affiliate Terms") govern participation in the TRMS360 affiliate program ("Affiliate Program").

TRMS360 is operated by Lucchesi & Associates, LLC ("TRMS360," "we," "us," or "our").

1. Affiliate Approval

Participation in the Affiliate Program requires approval by TRMS360.

Submitting an application does not guarantee acceptance. TRMS360 may approve or decline an application based on factors we consider appropriate for the program.

Approval applies only to the person or business accepted into the Affiliate Program and may not be transferred without our permission.

TRMS360 may review an affiliate's participation at any time and may suspend or terminate participation as provided in these Affiliate Terms.

2. Affiliate Account and Information

Affiliates are responsible for providing accurate and current information, including contact, payment, tax, and other information reasonably required to administer the Affiliate Program.

You are responsible for maintaining the security of your affiliate account, referral links, credentials, and related information.

You must promptly notify TRMS360 if you believe your account or affiliate links have been compromised or improperly used.

3. Affiliate Links and Tracking

TRMS360 or its affiliate platform may provide unique links, codes, identifiers, or other tracking methods used to attribute qualifying purchases to affiliates.

Affiliate attribution is determined by the tracking and attribution rules of the affiliate platform being used for the applicable offer.

TRMS360 does not guarantee a particular cookie duration or tracking window unless one is expressly stated for a specific campaign or offer.

Affiliates are responsible for using the tracking links or other attribution methods provided to them correctly.

TRMS360 is not responsible for attribution that is lost because of deleted cookies, browser settings, privacy technology, customer actions, incorrect links, third-party technology, tracking limitations, or circumstances outside our reasonable control.

4. Qualifying Referrals

A referral may qualify for a commission when:

  • The customer reaches the applicable offer through an authorized affiliate tracking method;
  • The purchase is successfully completed;
  • Payment is actually received;
  • The transaction complies with these Affiliate Terms and any offer-specific requirements; and
  • The affiliate platform attributes the transaction to the affiliate.

A lead, click, registration, application, scheduled appointment, or incomplete transaction does not create a commission unless the applicable offer expressly provides otherwise.

TRMS360 may review transactions for fraud, errors, duplicate attribution, refunds, chargebacks, cancellations, or other circumstances affecting commission eligibility.

5. Commission Rates

Commission rates may vary by product, membership, service, campaign, affiliate, promotion, or offer.

The commission applicable to a particular referral will be the commission communicated through the Affiliate Program, affiliate platform, campaign materials, offer terms, or another written arrangement with TRMS360.

Commission rates are intentionally not fixed in these Affiliate Terms.

TRMS360 may introduce new offers or change commission rates for future referrals. Changes will apply prospectively unless otherwise communicated.

A change to a commission rate does not ordinarily change a commission already earned on a qualifying transaction before the change became effective.

6. One-Time and Recurring Commissions

Some TRMS360 offers may provide a one-time commission. Other offers may provide recurring commissions.

The applicable offer terms determine whether a commission is one-time or recurring.

When recurring commissions apply, eligibility may depend on the referred customer maintaining an active qualifying purchase or membership and successfully paying applicable recurring charges.

A recurring commission does not create a guaranteed lifetime commission.

Recurring commissions may end when the referred customer cancels, fails to pay, receives a refund, changes to a nonqualifying product or membership, or otherwise ceases to meet the requirements of the applicable affiliate offer.

7. When a Commission Is Earned

A commission is not necessarily earned at the moment a customer submits an order.

A commission becomes eligible for payment after the underlying transaction has been successfully received, properly attributed, and has satisfied any applicable validation, refund, fraud-review, or holding requirements.

TRMS360 may delay commission eligibility when reasonably necessary to confirm that a transaction is legitimate and eligible.

Pending commissions are not considered payable until they satisfy the applicable requirements.

8. Monthly Payouts

Eligible affiliate commissions are generally processed on a monthly payout schedule.

Actual processing or receipt dates may vary because of weekends, holidays, payment processors, affiliate platforms, banking systems, tax-information requirements, account verification, or other administrative factors.

Affiliates are responsible for maintaining valid payout information.

TRMS360 is not responsible for delays caused by inaccurate or incomplete payment information supplied by an affiliate.

9. Minimum Payout

The minimum payout threshold is $100 in eligible commissions.

If an affiliate's eligible balance is below $100 at the time of a monthly payout, the balance will ordinarily roll forward to future payout periods until the threshold is reached.

The minimum payout threshold is not a forfeiture provision. Eligible commissions do not disappear solely because the balance has not yet reached $100.

If an affiliate relationship ends with an otherwise valid eligible balance below the threshold, TRMS360 may process the remaining eligible balance as a final payout after applicable adjustments, verification, refund periods, chargebacks, and other obligations have been resolved.

10. Refunds, Cancellations, and Chargebacks

Commissions are payable only on qualifying transactions for which TRMS360 ultimately retains the applicable customer payment.

If a referred transaction is refunded, reversed, cancelled, charged back, determined to be fraudulent, or otherwise becomes ineligible, the related commission may be cancelled or reversed.

If the commission has not yet been paid, it may be removed from the affiliate's pending or eligible balance.

If the commission has already been paid, TRMS360 may deduct the amount from future commissions or other amounts payable to the affiliate.

If there are insufficient future commissions to offset an erroneous or reversed payment, TRMS360 may reasonably seek repayment of the amount that should not have been paid.

11. Self-Referrals

Self-referrals are permitted unless a particular offer expressly states otherwise.

An affiliate may therefore use their own valid affiliate link when making a legitimate qualifying purchase for themselves or their business.

Self-referrals may not be used to manipulate commissions, tracking, discounts, promotional eligibility, refunds, chargebacks, payment systems, or other Affiliate Program rules.

TRMS360 may disqualify a self-referred transaction that is fraudulent, abusive, artificially structured, or otherwise violates these Affiliate Terms.

12. Affiliate Advertising

Affiliates may promote TRMS360 through appropriate marketing channels, including websites, social media, email, content, events, direct outreach, and paid advertising, subject to these Affiliate Terms and applicable law.

Paid advertising and bidding on advertising keywords, including TRMS360-related terms, are permitted unless TRMS360 establishes different requirements for a particular campaign or advertising platform.

Permission to advertise TRMS360 does not authorize an affiliate to impersonate TRMS360 or represent an affiliate advertisement, website, social account, landing page, or other property as an official TRMS360 property.

Advertisements must be accurate and must not create confusion about who is sponsoring or operating the advertisement.

13. Brand and Trademark Use

While you are an approved affiliate, TRMS360 grants you a limited, revocable, non-exclusive, non-transferable permission to use approved TRMS360 names, logos, trademarks, graphics, and marketing materials solely for authorized promotion of TRMS360.

You may not:

  • Claim ownership of TRMS360 intellectual property;
  • Register domains, business names, social-media accounts, trademarks, or other identifiers intended to impersonate or create confusion with TRMS360;
  • Materially alter TRMS360 branding in a misleading manner;
  • Represent yourself as an employee, owner, agent, legal representative, or official spokesperson for TRMS360; or
  • Use TRMS360 intellectual property in unlawful, deceptive, defamatory, or misleading materials.

TRMS360 may require an affiliate to modify or discontinue particular brand usage.

14. Coupons, Discounts, and Promotional Claims

Affiliates may not operate or promote TRMS360 through unauthorized coupon sites, coupon-code directories, or misleading discount promotions.

Affiliates may not advertise:

  • Fake or nonexistent coupon codes;
  • Unauthorized discounts;
  • Expired promotions as current;
  • A standard price as though it were a special affiliate discount;
  • False savings or fabricated price comparisons; or
  • A promotion that TRMS360 has not authorized.

If TRMS360 provides an affiliate with an authorized coupon, discount, promotional code, or special offer, the affiliate may promote it according to the terms provided with that offer.

15. Accurate Marketing and Prohibited Claims

Affiliates must market TRMS360 accurately and in good faith.

Affiliates may not make false, deceptive, misleading, unsubstantiated, or materially incomplete statements about TRMS360, its memberships, products, services, technology, results, pricing, features, bonuses, guarantees, or business opportunities.

Affiliates may not promise or guarantee:

  • Specific revenue or profit;
  • Guaranteed leads or customers;
  • Guaranteed business growth;
  • Guaranteed business valuation;
  • Guaranteed financial independence;
  • Guaranteed business sale;
  • Guaranteed achievement of $1 million in revenue; or
  • Any other result TRMS360 itself does not guarantee.

Affiliates may describe their genuine experiences and opinions, but testimonials and claims must be truthful and must not misrepresent typical or guaranteed outcomes.

16. Affiliate Disclosures

Affiliates must clearly disclose their affiliate relationship when promoting TRMS360 whenever required by applicable law, regulation, platform policy, or advertising standard.

The disclosure should be clear, conspicuous, and reasonably understandable to the audience.

Affiliates should not conceal the fact that they may receive compensation when a disclosure is required.

Each affiliate is responsible for complying with applicable endorsement, testimonial, advertising, and disclosure requirements, including requirements applicable to the channels through which they promote TRMS360.

17. Email, Text Messaging, and Direct Marketing

Affiliates who promote TRMS360 through email, text messaging, direct messaging, telephone, or other direct marketing are responsible for complying with applicable marketing, privacy, consent, anti-spam, and communication laws and platform requirements.

TRMS360 does not authorize affiliates to send unlawful unsolicited communications or to represent that such communications were sent directly by TRMS360 when they were not.

Affiliates are responsible for obtaining any consent legally required for their own marketing activities and for honoring applicable opt-out requirements.

18. Prohibited Conduct

Affiliates may not engage in conduct that harms TRMS360, its customers, other affiliates, or the integrity of the Affiliate Program.

Prohibited conduct includes:

  • Fraudulent transactions;
  • False identities or accounts;
  • Artificial clicks, leads, referrals, or purchases;
  • Manipulation of tracking or attribution;
  • Cookie stuffing or forced tracking;
  • Misleading redirects;
  • Unauthorized coupon promotion;
  • Spam or unlawful solicitation;
  • False or misleading advertising;
  • Impersonation of TRMS360;
  • Misrepresentation of the affiliate relationship;
  • Interference with another affiliate's tracking;
  • Unlawful collection or use of personal information;
  • Trademark or intellectual-property infringement; or
  • Any attempt to obtain commissions that were not legitimately earned.

TRMS360 may withhold or reverse commissions associated with prohibited conduct.

19. Taxes and Affiliate Responsibilities

Affiliates are responsible for their own taxes, reporting obligations, licenses, registrations, expenses, insurance, and other obligations arising from their affiliate activities.

TRMS360 may require tax forms, identification, payment information, or other documentation before issuing commissions.

TRMS360 may withhold payments where required by law or when information reasonably necessary to process a lawful payment has not been provided.

Affiliates should consult their own tax or professional advisors concerning their individual circumstances.

20. Independent Contractor Relationship

Participation in the Affiliate Program does not create an employment relationship, partnership, joint venture, franchise, fiduciary relationship, or agency relationship between the affiliate and TRMS360.

Affiliates operate independently and are responsible for their own business activities and expenses.

Nothing in the Affiliate Program gives an affiliate authority to enter into agreements, incur obligations, make commitments, collect money, provide warranties, or otherwise legally bind TRMS360.

21. No Exclusivity

Unless TRMS360 and an affiliate separately agree otherwise in writing, participation in the Affiliate Program is non-exclusive.

Affiliates may promote other businesses, products, or services, and TRMS360 may work with other affiliates, referral partners, marketing partners, or sales channels.

22. Program Changes

TRMS360 may modify the Affiliate Program, including available offers, commission rates, recurring commission eligibility, payout procedures, promotional requirements, technology, tracking methods, and program rules.

Changes affecting future referrals may take effect after they are communicated through the affiliate platform, program materials, email, these Affiliate Terms, or another reasonable method.

TRMS360 will not ordinarily retroactively reduce a commission that was already earned under the applicable terms before a program change became effective, except where adjustment is required because of a refund, chargeback, fraud, error, ineligible transaction, or similar circumstance.

23. Suspension and Termination

Either the affiliate or TRMS360 may end the affiliate relationship.

TRMS360 may suspend or terminate an affiliate immediately for fraud, deceptive marketing, unlawful conduct, misuse of TRMS360 intellectual property, manipulation of tracking, prohibited coupon activity, material violations of these Affiliate Terms, or conduct that creates material legal, reputational, security, or customer risk.

TRMS360 may also discontinue or restructure the Affiliate Program.

After termination, the affiliate must stop representing themselves as an active TRMS360 affiliate and discontinue unauthorized use of TRMS360 affiliate materials and intellectual property.

24. Commissions After Termination

Termination does not automatically eliminate legitimate commissions that were earned before termination.

Subject to these Affiliate Terms, eligible unpaid commissions attributable to qualifying transactions completed before the effective termination date may remain payable after applicable refunds, chargebacks, validation periods, offsets, and other adjustments are resolved.

Future commissions, including future recurring commissions, do not necessarily continue after termination unless TRMS360 expressly provides otherwise.

Commissions associated with fraud, manipulation, prohibited conduct, or other violations may be withheld, reversed, or forfeited to the extent permitted by applicable law.

25. Affiliate Platform and Third-Party Services

The Affiliate Program may rely on third-party platforms for tracking, attribution, reporting, payment processing, communications, or other functionality.

Those services may be subject to their own terms, privacy practices, technical limitations, and availability.

TRMS360 does not guarantee uninterrupted tracking or operation of third-party systems.

Where the affiliate platform's tracking records conflict with an affiliate's independent records, TRMS360 may reasonably rely on the platform records in administering commissions unless there is evidence of an identifiable error.

26. Confidential Information

Affiliates may receive nonpublic information concerning TRMS360, its customers, products, launches, promotions, pricing, strategy, technology, or business operations.

Information identified as confidential, or that a reasonable person would understand to be confidential, must not be disclosed or used for purposes unrelated to the Affiliate Program without authorization.

This obligation does not apply to information that becomes public through no breach by the affiliate or that the affiliate is legally required to disclose.

27. No Guarantee of Affiliate Earnings

Participation in the Affiliate Program does not guarantee commissions, income, sales, referrals, customers, traffic, conversion rates, or any other financial result.

Affiliate results vary based on numerous factors, including audience, marketing methods, effort, market conditions, offer performance, customer decisions, and other circumstances outside TRMS360's control.

Any examples of affiliate success or earnings are illustrative unless expressly stated otherwise and should not be interpreted as a promise of future results.

28. Indemnification

To the extent permitted by applicable law, an affiliate agrees to defend, indemnify, and hold harmless TRMS360, Lucchesi & Associates, LLC, and their respective owners, officers, employees, contractors, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from or related to the affiliate's:

  • Marketing or advertising activities;
  • Violation of applicable law;
  • False or misleading statements;
  • Unauthorized communications;
  • Violation of third-party rights;
  • Breach of these Affiliate Terms; or
  • Acts or omissions in operating the affiliate's own business.

29. Limitation of Liability

To the maximum extent permitted by applicable law, TRMS360 will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in the Affiliate Program, including lost profits, lost opportunities, lost commissions resulting from prospective transactions, or loss of data.

To the maximum extent permitted by applicable law, TRMS360's aggregate liability arising from the Affiliate Program will not exceed the commissions paid or payable to the affiliate during the six months immediately preceding the event giving rise to the claim.

Nothing in these Affiliate Terms excludes liability that cannot lawfully be excluded or limited.

30. Relationship to Other TRMS360 Terms

These Affiliate Terms govern participation in the Affiliate Program.

Use of the TRMS360 website, platform, and System remains subject to the TRMS360 Terms of Use and Privacy Policy, as applicable.

Purchases made from TRMS360 are subject to the Purchase Terms & Conditions applicable to the purchase.

If specific written affiliate offer terms conflict with these Affiliate Terms regarding a commission rate, recurring commission, campaign, or offer-specific requirement, the specific offer terms control for that matter.

31. Governing Law and Disputes

These Affiliate Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Before filing a legal action concerning these Affiliate Terms, the parties agree to make a good-faith effort to resolve the dispute informally by providing written notice describing the dispute and allowing at least 30 days for the parties to attempt resolution.

If the dispute cannot be resolved informally, and unless applicable law requires otherwise, legal proceedings relating to these Affiliate Terms will be brought in a court of competent jurisdiction in Florida.

Nothing in this section prevents either party from seeking appropriate emergency or injunctive relief where necessary to protect intellectual property, confidential information, or other rights.

32. Changes to These Affiliate Terms

TRMS360 may update these Affiliate Terms as the Affiliate Program, technology, business practices, or legal requirements change.

Updates apply prospectively as permitted by applicable law.

When these Affiliate Terms are updated, we will revise the "Last Updated" date and provide additional notice where appropriate or required.

Continued participation in the Affiliate Program after updated terms become effective constitutes acceptance of the updated terms to the extent permitted by applicable law.
